Terms of Service

Agreement

These Terms of Service ("Terms") are a legally binding agreement between you, or the business you represent, and Nehmedia, Inc. ("Nehmedia", "we", "us" or "our") for your access to and use of doghouseholds.com and the Dog Households application at app.doghouseholds.com (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you agree on behalf of a business, you confirm you have authority to do so. If you do not agree, stop using the Service.

Eligibility and Representations

The Service is provided to businesses and to individuals aged 18 or older with legal capacity to enter a contract. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You will not use the Service for unlawful purposes
• You will not access the Service through automated means, except through features the Service provides
• Any information you give us is accurate

Accounts and Users

Your subscription sets your plan and the number of licensed locations. You are responsible for the people you invite, for keeping login details secure and for all activity under your account. Account admins decide who on the team can do what. Each active account has one account admin responsible for billing. A login is for one person and may not be shared.

Plans, Billing and Canceling

Dog Households is offered as a Market Study (one quarter, one location), a Client Targeting subscription, or an agreement for multiple locations, at the prices shown on our pricing page or agreed with you in writing.

• Subscriptions are billed quarterly, in advance, per licensed location, and have a minimum term of one quarter. A subscription continues from quarter to quarter until you cancel.
• Client Targeting carries a one-time setup fee of $250 per account.
• Client Targeting may be prepaid for four quarters at a 10% discount.
• Every location after the first costs less. Organizations with 11 or more locations may sign an annual agreement, whose terms apply in place of any conflicting term here.
• Rank scans run within the limits shown in the application. Additional scans are available by agreement.
• Client Screening is coming soon. Its price will be set out before it is offered to you.

You may cancel at any time. Tell us before your next quarter begins and you will not be billed for it; your access continues to the end of the quarter you have paid for. When an account is canceled, access ends and team logins are turned off. Your maps and data are kept so the account can be reactivated, unless you ask us to delete them.

Your Data

You own the client files and other content you upload. You give us permission to process it to provide the Service. If you run Client Screening, you also authorize us to send the names and addresses in the screened file to a third-party data enrichment partner for matching, and to return the results to your account. You confirm that you have the right to upload it and that doing so does not break any law or any promise you have made to your clients. How client files are handled is described in our Privacy Policy.

Modeled Estimates and Third-Party Data

Dog household figures, High Income Dog Household figures, scores and similar outputs are modeled estimates based on public data. They are provided to inform your decisions, not to make them. They are not guaranteed to be accurate for any particular area and are not financial, real estate or investment advice.

Business listings, search results and other third-party data are provided as found and may be incomplete or out of date. Rank scans show results at the times and places they were run; search engines may show different results at other times.

Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Resell, sublicense or redistribute the Service or its data, except share links and exports used within your business as the Service allows
• Scrape, copy in bulk or reverse engineer the Service, or collect information about other users
• Upload information you do not have the right to use, or use the Service to identify or contact individuals in a way that breaks the law
• Try to access accounts, systems or data that are not yours, disrupt the Service, or transmit viruses, malware or other harmful code
• Use the Service to harass or harm any person

Intellectual Property

The Service, its software, maps, models and content belong to Nehmedia, Inc. or its licensors. Your subscription gives you a limited, non-exclusive, non-transferable right to use them for your internal business purposes during the subscription.

Privacy and Cookies

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are part of these Terms. The Cookie Policy explains the cookies we use and how to block or opt out of them.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

Indemnification

You agree to defend, indemnify and hold us harmless from any claims, damages, liabilities and expenses (including attorneys' fees) arising from your use of the Service, the content you upload, your violation of these Terms, or your violation of any third-party right.

Governing Law

These Terms are governed by the laws of the State of Texas. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas.

Dispute Resolution and Arbitration

Informal resolution

Before any formal proceeding, you agree to contact us at info@doghouseholds.com and try to resolve the dispute informally for at least thirty (30) days.

Binding arbitration

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Travis County, Texas. The arbitrator's award shall be final and binding.

Class action waiver

YOU AND NEHMEDIA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. This waiver applies to all disputes, including claims under CIPA, ECPA, CCPA/CPRA, TDPSA, COPPA or any other applicable privacy law.

Exceptions

The following are not subject to arbitration: (a) intellectual property claims; (b) claims for injunctive relief; (c) small claims court actions.

Electronic Communications

By using the Service, you consent to receive electronic communications from us. Electronic communications satisfy any legal requirement that a communication be in writing.

Severability and Entire Agreement

If any provision of these Terms is unenforceable, it shall be limited or eliminated to the minimum extent necessary. These Terms, together with our Privacy Policy, Cookie Policy and any order or agreement you sign with us, are the entire agreement between you and us.

Changes to These Terms

We may change these Terms. Updates are posted here with a revised "Last updated" date, and if the changes are significant, we will tell account holders before they take effect.
